Terms of Service

These Terms of Service ("Terms") govern your access to and use of the LetsCommerce platform and related services (the "Service") operated by LetsCommerce ("we", "us", "our"), accessible at https://letscommerce.io. By creating an account, subscribing to a plan, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms should be read in conjunction with our Privacy Policy, Refund Policy, and Copyright Policy, which together form the complete agreement between you and LetsCommerce.

1. Definitions

  • "Service" means the LetsCommerce e-commerce platform, including all software, tools, features, and associated documentation provided through our website and applications.
  • "Subscriber" or "you" means the individual or entity that registers for and uses the Service.
  • "Subscription" means the recurring payment plan you select to access the Service.
  • "Content" means any data, text, images, product listings, or other materials you upload, submit, or display through the Service.
  • "Paddle" means Paddle.com Market Limited, our authorized payment processor and Merchant of Record for subscription transactions.

2. Account Registration

2.1. To use the Service, you must create an account by providing accurate, current, and complete information. You agree to update your information promptly if it changes.

2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.3. You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Service.

2.4. You may not assign or transfer your account to another party without our prior written consent.

3. Subscription Plans and Billing

3.1. The Service is offered on a subscription basis. Available plans, features, and pricing are described on our pricing page.

3.2. Billing Cycle. Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). Each billing cycle begins on the date of your initial subscription purchase.

3.3. Auto-Renewal. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. By subscribing, you authorize recurring charges at the then-current rate for your plan.

3.4. Price Changes. We may change subscription pricing at any time. Price changes will take effect at the start of your next billing cycle. We will notify you of any price increase at least 30 days in advance.

3.5. Free Trial. We may offer a free trial period. If you do not cancel before the trial expires, your subscription will automatically convert to a paid plan and you will be charged at the applicable rate.

3.6. Taxes. All prices are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes associated with your subscription, except for taxes based on our net income.

4. Payment Processing and Merchant of Record

4.1. All subscription payments are processed by Paddle.com Market Limited, which acts as the Merchant of Record for all transactions. When you purchase a subscription, your contract for payment is with Paddle, not directly with LetsCommerce.

4.2. Paddle handles all billing, invoicing, sales tax, VAT, and payment-related inquiries. By subscribing, you agree to Paddle's Terms of Use and Privacy Policy.

4.3. We accept payment methods as made available by Paddle, which may include credit cards, debit cards, PayPal, and other local payment methods.

4.4. If a payment fails, we may suspend your access to the Service until the payment issue is resolved. We will make reasonable efforts to notify you of any payment failures.

5. Cancellation and Refunds

5.1. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle; you will retain access to the Service until then.

5.2. Refund requests are handled in accordance with our Refund Policy. Refunds for subscription payments are processed through Paddle.

5.3. We reserve the right to terminate or suspend your account and access to the Service at any time for violation of these Terms, with or without notice.

6. Use of the Service

6.1. License Grant. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

6.2. Acceptable Use. You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.

  • Upload, transmit, or distribute any content that is defamatory, obscene, fraudulent, or infringes on the rights of others.

  • Attempt to gain unauthorized access to the Service, other accounts, or related systems or networks.

  • Interfere with or disrupt the integrity or performance of the Service.

  • Reverse engineer, decompile, or disassemble any aspect of the Service.

  • Use the Service to send spam, unsolicited messages, or engage in phishing or other deceptive practices.

  • Resell, sublicense, or redistribute the Service without our prior written consent.

  • Use the Service to sell prohibited goods or services, including but not limited to illegal products, counterfeit items, or regulated substances without proper authorization.

    6.3. Content Responsibility. You are solely responsible for all Content you upload or publish through the Service. 7. Intellectual Property

7.1. The Service, including its design, features, code, documentation, and all associated intellectual property rights, is and remains the exclusive property of LetsCommerce. See our Copyright Policy for details.

7.2. You retain ownership of your Content. By using the Service, you grant us a limited license to host, display, and process your Content solely for the purpose of providing the Service to you.

7.3. You may not copy, modify, distribute, or create derivative works based on the Service or any part thereof, except as expressly permitted in writing by us.

7.4. The LetsCommerce name, logo, and all related trademarks are the property of LetsCommerce. You may not use our trademarks without our prior written consent.

8. Data and Privacy

8.1. Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal data.

8.2. You are responsible for ensuring that your use of the Service complies with all applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable.

8.3. We take commercially reasonable measures to protect the security and integrity of data stored through the Service, but we cannot guarantee absolute security.

9. Service Availability and Modifications

9.1. We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free access. Scheduled maintenance, updates, and unforeseen outages may occur.

9.2. We reserve the right to modify, update, or discontinue any features or aspects of the Service at any time. We will provide reasonable notice for material changes that significantly impact your use of the Service.

9.3. In the event we discontinue the Service entirely, we will provide at least 30 days' notice and offer a pro-rata refund for any prepaid, unused subscription period.

10. Limitation of Liability

10.1. To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.2. In no event shall LetsCommerce, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or related to your use of the Service.

10.3. Our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

10.4. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless LetsCommerce and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your Content, or your violation of these Terms.

12. Termination

12.1. You may terminate your account at any time by cancelling your subscription and contacting us at admin@letscommerce.io.

12.2. We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or for any other reason at our reasonable discretion.

12.3. Upon termination, your right to access the Service ceases immediately. We may retain your data for a reasonable period as required by law or for legitimate business purposes.

12.4. Sections that by their nature should survive termination shall survive, including but not limited to Sections 7, 10, 11, and 14.

13. Changes to These Terms

13.1. We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least 14 days before they take effect.

13.2. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and cancel your subscription.

14. Governing Law and Dispute Resolution

14.1. These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to conflict of law principles.

14.2. Any disputes arising out of or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent courts of Ukraine.

15. General Provisions

15.1. Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.2. Entire Agreement. These Terms, together with the Privacy Policy, Refund Policy, and Copyright Policy, constitute the entire agreement between you and LetsCommerce regarding the Service.

15.3. Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4. Assignment. We may assign or transfer these Terms, in whole or in part, without restriction. You may not assign your rights or obligations under these Terms without our prior written consent.

15.5. Force Majeure. We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authority, fire, floods, epidemics, strikes, or failures of third-party services.
